LegioLog

LegioLog terms and conditions

Version 1.0, 30 October 2026. These terms apply to all offers, orders and agreements of Basepay B.V., trading as LegioLog, established in Amsterdam, the Netherlands, Dutch Chamber of Commerce number 42081353 ("LegioLog", "we"). This English version is binding. Translations are provided for information only.

1. Definitions

1.1 Customer: the legal entity, or the natural person acting in the course of a profession or business, that enters into an agreement with LegioLog.

1.2 Kit: the hardware supplied by LegioLog, including sensors, gateway(s), NFC tags, mounting material and accessories.

1.3 Service: the online environment of LegioLog, including the digital logbook, the monitoring, the alerts and the reporting functions, supplied as a subscription.

1.4 Logbook: the measurements, flushing records and events of the Customer's location(s) recorded in the Service.

1.5 Water safety plan: the plan with which the Customer manages the legionella risk of its water installation, as required by the law of the country where the location is, or, where no such plan is legally required, the plan with which the Customer fulfils its duty of care for the installation.

1.6 Authority: the body that supervises the Customer's water installation or records under the law of the country where the location is.

2. Applicability and offer

2.1 LegioLog offers its products to business customers only. LegioLog does not enter into agreements with consumers. By ordering, the Customer declares that it acts in the course of a profession or business.

2.2 These terms apply to every order, every quotation and every agreement. Purchasing or other terms of the Customer do not apply.

2.3 Obvious mistakes or errors in the offer, including pricing errors, do not bind LegioLog.

2.4 The composition of the Kit is based on the situation the Customer describes. The price shown on the website is recalculated by LegioLog when the order is placed; our calculation is decisive. For locations outside the standard kits, LegioLog first makes a quotation.

3. What LegioLog is and what it is not

3.1 LegioLog is a recording and alerting tool. The Service supports carrying out the Customer's Water safety plan by recording temperature measurements, flushing records and reports, and by warning the Customer of deviations.

3.2 LegioLog does not take over any legal obligation of the Customer. In particular, the Service is no substitute for: the risk assessment and the Water safety plan (to be drawn up by a qualified adviser where the law requires this), the legally required measurements and control measures, periodic sampling and laboratory analysis, and the Customer's own duty of care as owner or operator of the water installation.

3.3 The Customer remains responsible at all times for complying with the laws and regulations that apply to it. The content of the Service, including tasks, alerts and reports, is not legal or technical advice.

3.4 Measurements in the Service are indicative sensor measurements on the outside of the pipe. They are not accredited or legally prescribed measurements.

4. Formation, delivery and installation

4.1 The agreement is formed once LegioLog confirms the order. LegioLog may refuse orders without giving reasons or ask for additional information.

4.2 Delivery times are indicative and are not strict deadlines. The risk of the Kit passes to the Customer on delivery at the address given.

4.3 The Customer installs the Kit itself following the instructions supplied. The Customer provides a suitable installation spot, a working power supply for the gateway, internet access where needed, and a phone with NFC to record flushing.

4.4 Hardware supplied remains the property of LegioLog until the invoice concerned has been paid in full.

4.5 The Kit is supplied preconfigured and works with the Service as one system. Changing the configuration or firmware of sensors or gateway outside the Service is not permitted.

5. Ordering more or returning

5.1 If the Customer ordered too much or too little material, the following applies for 90 days after delivery: extra sensors and tags can be ordered at the kit price, and unused, undamaged material in its original packaging can be returned free of charge. LegioLog credits returned material within 14 days of receipt.

5.2 Apart from article 5.1 there is no right of withdrawal or return for business customers, unless agreed otherwise in writing.

6. Prices and payment

6.1 All prices are in euro and exclude VAT, unless stated otherwise. For business customers in another EU member state the VAT is reverse-charged where the law allows this; the Customer provides a valid VAT number for that purpose.

6.2 The Kit is paid on ordering through our payment provider or, where offered, on invoice with a payment term of 14 days.

6.3 The subscription is paid in advance, per year (standard, at ten times the monthly rate) or per month. The subscription starts when payment has been received or the Kit has been delivered, whichever is later.

6.4 If payment is late, the Customer owes the statutory commercial interest and reasonable collection costs after a reminder. LegioLog may suspend access to the Service when payment is more than 30 days overdue, after prior notice.

6.5 LegioLog may adjust the subscription rates once a year. A price change is announced at least 30 days in advance and takes effect on the next renewal date. If the increase is more than 10%, the Customer may cancel as of the date the change takes effect.

7. Term and termination

7.1 The subscription is entered into for the chosen period (month or year) and is renewed automatically for the same period each time. The Customer can cancel as of the end of the current period, with one month's notice.

7.2 Subscription fees already paid are not refunded, except under article 6.5 and mandatory law.

7.3 LegioLog may terminate the agreement with immediate effect in case of bankruptcy, a moratorium or a serious breach by the Customer, including misuse of the Service.

7.4 After the subscription ends, the Customer can export its Logbook for 60 days (PDF and a machine-readable format). After that, LegioLog deletes the Customer's data, except data LegioLog must keep longer under a legal obligation.

7.5 How long legionella records must be kept depends on the country of the location; in Spain, for example, it is five years. The Customer is responsible for keeping its exported Logbook for the period that applies to it.

8. The Service

8.1 LegioLog makes reasonable efforts to keep the Service available, but does not guarantee uninterrupted or error-free operation. LegioLog may carry out maintenance and will announce major maintenance in advance where possible.

8.2 The operation of the Kit and the Service also depends on circumstances outside LegioLog's control, including radio coverage (LoRaWAN), the building, the power supply and internet connection at the location, and how the Customer places the sensors and gateway. Sensors report measurements and deviations at intervals; LegioLog does not guarantee that every deviation is detected or that every alert reaches the Customer immediately. Alerts are an aid; the Customer remains obliged to check its installation and logbook itself.

8.3 The Logbook is set up so that records cannot be changed or deleted; corrections are added as a new record. This is a core function of the Service.

8.4 LegioLog may develop the Service further and change functionality, provided the core of the Service (logbook, monitoring, alerts, export) is kept.

8.5 For the duration of the subscription the Customer receives a non-exclusive, non-transferable right to use the Service for its own business. All intellectual property rights in the Service, the software and the trademarks belong to LegioLog or its licensors.

9. Data

9.1 The measurements and records of the Customer's location(s) remain the Customer's. LegioLog may use this data to provide the Service and, only in aggregated form that cannot be traced back to the Customer, for product improvement and statistics.

9.2 Where LegioLog processes personal data on behalf of the Customer in providing the Service, LegioLog's data processing agreement applies, which forms part of the agreement.

10. Warranty

10.1 The hardware carries a warranty of 24 months after delivery against defects in material and manufacture. The warranty covers repair or replacement free of charge, at LegioLog's choice.

10.2 The warranty lapses in case of improper use, installation contrary to the instructions, own repairs or modifications, changes to the configuration or firmware outside the Service (article 4.5), and external damage (including moisture outside the specifications, freezing and overvoltage).

10.3 Batteries are consumables; the expected service life is indicative.

11. Liability

11.1 LegioLog's total liability for an attributable failure or a tort is limited per event (a series of related events counting as one event) to the amount the Customer paid LegioLog in the twelve months before the event, with a maximum of € 10,000.

11.2 LegioLog is not liable for indirect or consequential loss, including lost profit, lost savings, business interruption, reputational damage, and fines, penalties or other measures imposed on the Customer by an Authority.

11.3 LegioLog is not liable for loss resulting from: incorrect or incomplete installation or configuration by the Customer, failure to act on alerts or instructions, circumstances as referred to in article 8.2, or the absence of, or failure to follow, a Water safety plan by the Customer.

11.4 The limitations in this article do not apply in case of intent or deliberate recklessness of LegioLog's management, or to the extent mandatory law does not allow a limitation.

11.5 Any claim for damages lapses twelve months after the Customer became aware, or could have become aware, of the loss.

12. Force majeure

12.1 LegioLog is not obliged to perform if it is prevented from doing so by force majeure, including failures at hosting providers, network operators or payment services, outage of the LoRaWAN network, supply problems at manufacturers and carriers, and government measures.

13. Pilots

13.1 Different arrangements may apply to taking part in a pilot; these are laid down in writing. Signing up for a pilot on the website is without obligation; an agreement is only formed after express agreement of both parties.

14. Final provisions

14.1 LegioLog may change these terms. Changes are announced at least 30 days in advance and apply from the next renewal date of the subscription.

14.2 The agreement is governed by the laws of the Netherlands. Disputes are submitted to the competent court in Amsterdam, the Netherlands.

14.3 If a provision of these terms proves void or voidable, the other provisions remain in force, and the provision concerned is replaced by a valid provision that comes as close as possible to its purpose.

14.4 These terms are drawn up in English, and the English version is binding. If a translation differs from the English version, the English version prevails.
